Welcome to TransferCredit.org, which is owned and operated by UPI Globale Edu Inc. ("UPI Globale Edu," "we," "us," or "our"). By accessing or using our website, courses, subscriptions, tools, AI assistant or other services (collectively, the "Services"), you agree to comply with and be legally bound by these Terms of Use (the "Terms"). If you do not agree with these Terms, you must stop using the Services immediately.

These Terms constitute a binding agreement between you and UPI Globale Edu Inc. governing your use of all Services provided through our website at transfercredit.org and any affiliated platforms. Our Privacy Policy forms part of these Terms.

1. Eligibility

To use our Services, you affirm that you:

• Are at least 18 years of age, or if under 18, have the express consent of a parent or legal guardian.
• Have the legal authority and capacity to enter into these Terms.
• Are using the Services solely for lawful purposes and in compliance with all applicable laws and regulations.

Failure to meet these requirements may result in immediate termination of your account and Services.

2. Account registration and security

When you create an account, you agree to:

• Provide accurate, current, and complete information.
• Keep your login credentials secure and confidential.
• Immediately notify UPI Globale Edu of unauthorized use or suspected security breaches.

Prohibited uses of your account

• You may not share your account or allow others to access it.
• Accounts created with false information or on behalf of another individual without their consent will be terminated.

UPI Globale Edu reserves the right to suspend or terminate any account that violates these provisions.

3. Services offered

UPI Globale Edu provides educational courses, bundles, and subscriptions designed to support students in earning transferable college credits. These include self-paced exam prep courses for CLEP® and DSST® exams, practice questions and practice exams, study guides, the tools described in Section 3A, consultations, and plans that include ACE- or NCCRS-recommended courses provided by our partner UPI Study.

Service limitations

• No guaranteed credit acceptance: UPI Globale Edu does not guarantee that any institution will accept an exam score or course for credit, unless explicitly stated for certain bundles. Each institution sets its own credit policy and may change it at any time.
• No guaranteed exam results: we do not guarantee that you will pass any exam, reach any score, or earn any credit. Quiz scores, practice exam scores and readiness estimates are study aids, not predictions of your actual result.
• Exams are separate: CLEP exams are owned and administered by College Board, and DSST exams by Prometric. You register for exams and pay exam fees directly to them or to a test center. Exam fees are not included in our prices unless we explicitly say so. Exam content, fees, formats, passing scores, retake rules and policies are set by the exam owners and may change without notice. We are not responsible for exam administration, scoring, or score reporting.
• Prep courses are not credit-bearing: our exam prep courses help you prepare for an exam. They do not themselves award college credit. You earn credit by passing an exam that your institution accepts, or by completing an ACE- or NCCRS-recommended course that your institution accepts.
• Non-accredited platform: UPI Globale Edu is not a college, university, or degree-granting institution, and it does not itself issue credit or transcripts. ACE- and NCCRS-recommended courses included with some plans are provided by UPI Study, a separate company, under a partner agreement. UPI Study issues transcripts for those courses under its own terms and policies.
• Independent verification: it is your responsibility to verify credit acceptance with your intended institution before purchase.

3A. Iris and our tools

Iris, our AI assistant

Iris is an automated chat assistant powered by artificial intelligence. It is not a person, and it is not an academic, admissions, legal, or financial advisor. By using Iris, you acknowledge and agree that:

• Iris's responses are generated automatically and may be inaccurate, incomplete, or out of date, including information about credit policies, prices, exam details, and course content.
• Iris's responses are general information only and do not create any guarantee, offer, or binding commitment. Prices, plans, and terms shown at checkout and in these Terms prevail over anything Iris says.
• You are responsible for verifying any information before relying on it, especially with your institution's registrar or admissions office.
• You will not enter sensitive personal information into Iris, such as government identification numbers, financial account details, health information, or passwords.
• You will not misuse Iris, for example by attempting to extract its instructions, bypass its safeguards, generate unlawful or harmful content, or send automated or excessive requests.
• Conversations may be recorded and reviewed as described in our Privacy Policy.

We may change, limit, or discontinue Iris at any time.

Find My College, the Degree Planner, and other tools

Our tools are free informational aids. College credit policies shown on the Site are compiled from public and third-party sources, may be incomplete or out of date, and do not replace the official policy of the institution. Plans, credit counts, timelines, prices, and savings produced by the Degree Planner, calculators, or Iris are estimates based on the information you provide and general assumptions. They are not guarantees.

3B. Independence, trademarks and disclaimers

Independence

TransferCredit.org is owned and operated by UPI Globale Edu Inc., an independent company. We are not owned by, part of, or affiliated with UPI Study, College Board, Prometric, the American Council on Education (ACE), or the National College Credit Recommendation Service (NCCRS). We work with some of these organizations under separate partner agreements. Those agreements do not make us part of them, and they do not make any of them responsible for our website, products, advice, or obligations to you. Unless an organization says so itself, nothing on the Site means that it endorses our products.

Trademarks

CLEP® is a registered trademark of College Board. DSST® is a registered trademark of Prometric. ACE® and ACE CREDIT® are registered trademarks of the American Council on Education. NCCRS is a program of the Board of Regents of the University of the State of New York. The names and logos of colleges, universities, and other organizations that appear on the Site belong to their owners. They are used only to identify those organizations and their policies, and their use does not imply any affiliation with or endorsement of TransferCredit.org. We claim no rights in any third-party names or trademarks.

Transferability and institutional discretion

Whether an exam score or course earns credit, how many credits it earns, and how those credits apply to a degree are decided solely by each institution. Institutions can change their policies, apply them differently to different programs, limit the number of credits accepted, or require minimum scores, residency, or other conditions. Information on the Site about any institution's policy is provided for convenience only and may not be current.

Student examples, timelines and savings

Student stories, testimonials, and examples describe individual experiences. They are not typical results and are not a promise that you will achieve the same outcome. Timelines, study-time estimates, credit totals, tuition comparisons, and savings figures are illustrations. Your results depend on your own effort, background, exam performance, and institution.

Practice questions and exam content

Our practice questions, practice exams, and study materials are written to reflect publicly available exam outlines. They are not actual exam questions, and we do not have, sell, or distribute any official exam content.

Licensed and openly licensed materials

Some course materials, syllabi, media, and resources used in the Services may be owned by third parties or made available under open licenses, such as Creative Commons licenses. They are used under their applicable license terms, and ownership remains with their respective owners.

No warranties

To the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.

4. Pricing and payment terms

Payment requirements

• Payment for all courses, bundles, and subscriptions must be made in full at the time of purchase.
• Prices are listed in USD and may include applicable taxes or fees.
• Payments are processed by third-party payment processors, such as Stripe and PayPal. We do not store your full payment card details.

Subscriptions

Subscriptions, such as monthly plans, renew automatically at the end of each billing period, and your payment method is charged the price then in effect until you cancel. You can cancel at any time from your account or by emailing [email protected]. Cancellation takes effect at the end of the current billing period, and you keep access until then. To avoid being charged for the next period, cancel before the renewal date. We will give you notice before a price change applies to your subscription's renewal.

Lifetime access

"Lifetime access" means access to the purchased course or plan for as long as we offer that course or plan on TransferCredit.org. It does not mean access for your lifetime or for an unlimited period. Courses may be updated, reorganized, or replaced over time. If we discontinue a course or plan you purchased with lifetime access, we will make reasonable efforts to give you advance notice and, where we can, provide equivalent or updated content.

Non-payment

Failure to complete payment may result in suspension of access to the purchased Services. UPI Globale Edu reserves the right to adjust prices at any time, but price changes will not affect existing orders.

5. Refund policy

Effective for all purchases made on or after April 10, 2026, UPI Globale Edu operates a strict no-refund policy. All sales are final. No refunds will be issued under any circumstances, for any reason, including but not limited to: non-completion of coursework, dissatisfaction with content or outcomes, change of mind, failure to pass an exam, failure to transfer credits, change of university or major, or any other personal, academic, or institutional reason.

This no-refund policy applies to all students regardless of nationality, country of residence, or institution of enrollment, and to all products including individual courses, bundles of any value, subscriptions, and any other services offered by UPI Globale Edu.

No refunds for UPI Globale Edu center or vendor purchases: UPI Globale Edu has a strict non-refund policy for any courses or services purchased through a UPI Globale Edu affiliated center, franchisee, or third-party vendor. UPI Globale Edu is not a party to any transaction between a student and a UPI Globale Edu center or vendor, and bears no financial or legal liability for such transactions. All refund inquiries related to center or vendor purchases must be directed to the respective center or vendor directly. UPI Globale Edu will not intervene in, adjudicate, or assume liability for any such disputes.

By creating an account on TransferCredit.org and completing your purchase, you acknowledge that you have read, understood, and agreed to this no-refund policy in full.

Nothing in this Section 5 limits any right to cancel or obtain a refund that applicable consumer protection law gives you and that cannot be waived by agreement.

5A. Purchases made before April 10, 2026

Students who made a purchase of over $1,500 prior to April 10, 2026 are governed by the refund terms in effect at the time of their purchase. A copy of those terms is available on request by emailing [email protected]. No refund rights under any prior terms extend to, or are affected by, any purchase made on or after April 10, 2026. Prior terms do not apply to new purchases under any circumstances.

5B. No advisory obligation

UPI Globale Edu is an educational content provider, not an academic advisor, financial advisor, admissions consultant, or counselor of any kind. UPI Globale Edu is under no obligation to provide, and expressly disclaims any duty to provide, academic advising, course selection guidance, university selection guidance, credit transfer advice, career advice, or any other advisory service of any nature.

Any information, suggestions, or communications provided by UPI Globale Edu staff, representatives, centers, vendors, consultations, tools, or Iris regarding course selection, university compatibility, or credit transferability are provided as general informational guidance only, without warranty of any kind, and do not constitute professional academic advice. UPI Globale Edu expressly disclaims any liability for outcomes arising from a student's reliance on any such information.

It is the sole responsibility of the student to independently verify credit acceptance, course requirements, institutional compatibility, and all other academic matters with their intended institution before making any purchase. No refund will be granted on the basis that a student received, relied upon, or acted in accordance with any guidance provided by UPI Globale Edu, its representatives, its tools, or Iris.

5C. Chargebacks and payment disputes

Any chargeback or payment dispute initiated against UPI Globale Edu in violation of this Refund Policy will be considered a material breach of these Terms. UPI Globale Edu reserves the right to suspend or permanently terminate account access upon initiation of any such dispute. UPI Globale Edu may seek recovery of all associated costs, including chargeback processing fees, collection costs, and reasonable legal fees. Students are required to contact [email protected] to resolve billing concerns before initiating any dispute with their payment provider. This obligation applies to all students regardless of nationality or enrollment date.

6. Intellectual property rights

All content and materials provided by UPI Globale Edu, including text, images, graphics, videos, practice questions, and course materials, are protected by copyright, trademark, and other intellectual property laws.

Permitted use

You are granted a non-transferable, non-exclusive, revocable license to access and use the content solely for your personal, non-commercial study.

Prohibited use

You may not:

• Copy, distribute, or create derivative works of any content.
• Reverse-engineer or modify our platform or software.
• Use any content for commercial purposes without written permission.

Violations of intellectual property rights will result in termination of access and potential legal action.

All original content created by UPI Globale Edu, including its original text, graphics, branding, and website materials, is protected by copyright, trademark, and other intellectual property laws. Third-party and openly licensed materials are described in Section 3B.

User-generated content and testimonials

By submitting reviews, testimonials, feedback, case studies, or any other content to UPI Globale Edu through any channel (including email, social media, chat, or web forms), you grant UPI Globale Edu Inc. a non-exclusive, royalty-free, perpetual, irrevocable, worldwide license to use, reproduce, modify, adapt, publish, translate, and display such content in any marketing materials, on its website, in advertising, or in any other format, with or without attribution. You represent that you have the right to grant this license and that your submission does not infringe any third-party rights. UPI Globale Edu reserves the right to edit submissions for clarity, length, or compliance without materially altering their meaning. We will not publish your full name or photo with a testimonial without your permission.

7. Prohibited conduct

By using UPI Globale Edu's Services, you agree not to engage in the following prohibited activities:

Unauthorized use

• Hacking or disruption: attempting to access or interfere with our systems, servers, or network security.
• Unauthorized access: using another user's account or providing false credentials to gain access.
• Automated access: scraping, crawling, or downloading content in bulk, or using bots or scripts to access the Services or Iris, without our written permission.

Improper content use

• Redistribution: sharing, reselling, or redistributing any course content or materials.
• Exam security: sharing, requesting, or using actual exam questions or other confidential exam content in violation of College Board's, Prometric's, or any test center's rules.
• Inappropriate use: posting defamatory, abusive, or illegal content within our platform.

Misrepresentation or fraud

• False identity: creating accounts or purchasing services under a false identity.
• Misleading claims: providing falsified information for refunds or credit transfer appeals.

Compliance violations

You must not violate any applicable laws, regulations, or policies outlined in these Terms. Violation of these provisions will result in immediate suspension or termination of access without a refund and may include legal action.

8. Limitation of liability

To the fullest extent permitted by law, UPI Globale Edu Inc. will not be liable for:

Exclusion of damages

• Direct or indirect losses: losses of revenue, data, or goodwill arising from use of, or inability to use, the Services.
• Academic outcomes: failure to achieve desired academic or financial outcomes, including exam results, credit acceptance, or transferability.
• Information and AI outputs: errors or omissions in information provided by the Services, our tools, or Iris, or decisions made in reliance on it.
• Third parties: the acts, omissions, policies, or services of exam owners, test centers, institutions, UPI Study, payment processors, or other third parties.

Limited remedies

Our total liability under any circumstances is limited to the amount you paid for the Services that directly caused the claim. This limitation applies to all claims, whether based on warranty, contract, tort, or other legal theory. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

9. Indemnification

You agree to indemnify and hold harmless UPI Globale Edu Inc., its affiliates, officers, directors, employees, agents, and partners from any claims, losses, liabilities, or expenses, including reasonable legal fees, arising out of:

• Your breach of these Terms.
• Misuse of the Services, including unauthorized sharing or distribution.
• Infringement of third-party rights, including intellectual property or privacy.
• Any dispute between you and an academic institution regarding credit transfers.

This indemnification obligation will survive termination of your use of the Services.

10. Governing law and dispute resolution

These Terms are governed by and construed under the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law principles.

Dispute resolution process

• Informal negotiation: you must first contact UPI Globale Edu at [email protected] and allow 30 days to attempt an informal resolution before starting any legal proceeding.
• Binding arbitration: to the fullest extent permitted by law, any dispute that is not resolved informally will be resolved by final and binding arbitration before a single arbitrator under the Arbitration Act, 1991 (Ontario). The arbitration will be seated in Ontario, Canada, conducted in English, and may be held by videoconference. Each party will bear its own legal costs, unless the arbitrator decides otherwise or the law requires otherwise. Either party may instead bring an individual claim in small claims court if it qualifies.

Class action waiver

To the fullest extent permitted by law, you agree to resolve disputes on an individual basis and waive any right to participate in class or collective actions.

Consumer rights

If you are a consumer, nothing in this Section 10 limits any right you have under the Ontario Consumer Protection Act, 2002, or a similar law where you live, to bring a claim in court or to participate in a class proceeding, where that right cannot be waived by agreement. In that case, the arbitration and class action waiver provisions above do not apply to the extent they conflict with that right.

International users

Users accessing UPI Globale Edu's Services from outside Ontario or Canada may have additional rights under their applicable local consumer protection, data protection, or educational laws. Nothing in these Terms is intended to, or shall, waive any rights that cannot be contractually waived under the laws of the jurisdiction in which you reside. However, to the fullest extent permissible, the governing law and dispute resolution provisions above shall apply. UPI Globale Edu makes no representation that the Services are appropriate or available for use in all countries, and it is not responsible for compliance with local laws in jurisdictions where it does not operate.

11. Termination

Termination by UPI Globale Edu

We reserve the right to suspend or terminate your access to the Services at any time without notice if:

• You breach any provision of these Terms.
• Your account is used for prohibited activities (see Section 7).
• Required payments are not completed.
• We are required to do so for legal or regulatory reasons.

Termination by you

You may terminate your account at any time by contacting us at [email protected]. Upon termination, you will lose access to all purchased content and Services. No refunds will be issued unless explicitly stated in the Refund Policy (Section 5).

Surviving provisions

Sections related to intellectual property, disclaimers, liability limitations, indemnification, and dispute resolution will survive the termination of these Terms.

12. Changes to the Terms

UPI Globale Edu Inc. reserves the right to modify or update these Terms, and any policies incorporated by reference, at any time.

Notification of changes

• Material changes will be announced via email or a notice on our website.
• Updates will be effective immediately upon posting unless otherwise specified. Changes will not apply retroactively to purchases completed before they take effect.

Your responsibility

By continuing to use our Services after updates are made, you agree to the revised Terms. If you do not agree with the changes, you must stop using the Services.

13. Miscellaneous provisions

• Entire agreement: these Terms, together with our Privacy Policy and any terms shown to you at purchase, constitute the complete agreement between you and UPI Globale Edu Inc., superseding all prior agreements related to the Services.
• Severability: if any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: failure to enforce any right or provision under these Terms does not constitute a waiver of that right or provision.
• Assignment: you may not assign or transfer your rights under these Terms without our prior written consent. UPI Globale Edu may assign or transfer its rights without restriction.
• Force majeure: UPI Globale Edu Inc. is not liable for delays or failures in performance caused by events beyond its reasonable control. These include acts of God, natural disasters, labor disputes, government actions, outages of third-party platforms, technical failures, and policy changes of College Board, Prometric, the American Council on Education, the National College Credit Recommendation Service, UPI Study, or any institution. Changes in a university's credit acceptance policies occurring after a student's enrollment with UPI Globale Edu are outside UPI Globale Edu's control and do not, by themselves, entitle the student to a refund.
• Language: these Terms are written in English. If they are translated, the English version prevails to the extent permitted by law.

15. Privacy and data collection

How we collect, use, share, and protect personal information is explained in our Privacy Policy, which forms part of these Terms. It covers account and purchase information, course progress, analytics tools such as session recordings and heatmaps, cookies, Iris conversations, sharing with service providers, partners and authorized centers, and your privacy rights and choices. If anything in these Terms about personal information conflicts with the Privacy Policy, the Privacy Policy prevails.

16. Communications (transactional vs. marketing)

16.1 Service and transactional communications

By creating an account or purchasing Services, you agree that UPI Globale Edu may send you non-marketing communications that are necessary to provide and support the Services. These may include: account verification and security alerts; payment receipts, invoices, and subscription notices; course access confirmations, course progress updates, deadlines, grading, certificates, and transcript-related updates; and announcements related to courses you are enrolled in, platform changes, and service notices. These communications are transactional or service communications, not marketing.

16.2 Email marketing communications

UPI Globale Edu may send you marketing emails, such as promotions, product updates, special offers, surveys, and newsletters, where you have consented, for example by ticking a box to receive updates, or where applicable law allows it, for example after a recent purchase or inquiry. Every marketing email includes an unsubscribe link.

16.3 SMS marketing communications

If you opt in to text messages, you agree to receive recurring marketing and promotional text messages (SMS/MMS) from UPI Globale Edu Inc. at the phone number you provide. These messages may include promotional offers, course updates, enrollment reminders, and other marketing content. Message frequency may vary. Standard message and data rates may apply.

You may opt out of marketing SMS messages at any time by replying STOP to any UPI Globale Edu text message. After opting out, you may receive a single confirmation text. Opting out of marketing SMS will not affect transactional or service-related messages (see Section 16.1). For help, reply HELP or contact [email protected].

Consent to receive marketing SMS is not a condition of purchase. You may withdraw consent at any time without affecting your access to UPI Globale Edu Services.

16.4 Data sharing for communications

If you enrolled through, or are supported by, a UPI Globale Edu affiliated center or regional partner, your contact details (including name, email, and phone number) may be shared with that center or partner for enrollment coordination, academic support, and service-related outreach, as described in our Privacy Policy. Such centers and partners are required to handle your data in accordance with applicable law and UPI Globale Edu's data handling standards. They may not use your contact data for independent commercial marketing purposes without your separate consent.

16.5 How to unsubscribe from marketing

You may opt out of marketing emails at any time by using the "unsubscribe" link in a marketing email, updating your communication preferences in your account settings, or emailing [email protected]. You may opt out of marketing SMS at any time by replying STOP to any message. Opting out of marketing communications will not stop the transactional and service communications described in Section 16.1, which are required to deliver and support the Services.

Final note

By using UPI Globale Edu's Services, you confirm that you have read, understood, and agreed to these Terms, together with our Privacy Policy and the disclaimers in Section 3B. If you do not agree, you must stop using the Services.
